1. Acceptance and Authority
These Terms of Use ("Terms") govern access to and use of the LogiIQ enterprise logistics management platform ("Platform") operated by Modern Technology LLC ("Company", "we", "us"). By clicking to accept these Terms, creating credentials, or accessing the Platform, you ("User", "you") represent and warrant that:
- You have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
- You are at least 18 years of age and have legal capacity to enter this agreement.
- You are an authorized employee, contractor, agent, or invitee of a subscribing customer organization that has granted you Platform access.
- You will use the Platform only for legitimate business purposes related to logistics, yard, warehouse, dispatch, fleet, visibility, or related operations authorized by your organization.
2. Authorized Access Only
The Platform is a restricted, commercial system. Access is granted on a named-user, role-based basis. You may not access, attempt to access, or assist any unauthorized person in accessing any tenant, company, location, module, API endpoint, document, credential, or data set.
- Do not share, sell, transfer, or publish login credentials, API keys, tokens, invite links, or session cookies.
- Do not bypass, disable, probe, or interfere with authentication, authorization, rate limits, audit controls, or security monitoring.
- Do not use automated scraping, credential stuffing, penetration testing, or reverse engineering except under a written authorization from Company.
- Immediately notify your administrator and Company if you suspect unauthorized access, credential compromise, or data exposure.
3. Customer Data and Tenant Isolation
The Platform is multi-tenant. Operational data, documents, analytics, billing records, configuration, and communications belong to the subscribing customer organization unless otherwise stated in a written agreement.
You acknowledge that Company processes customer data as a service provider on behalf of subscribing organizations. Your organization's administrator controls role assignments, permissions, retention settings, and user lifecycle actions.
- You must not attempt to view, export, modify, or delete data outside the scope of your assigned role and tenant permissions.
- You must not upload unlawful, malicious, infringing, or intentionally deceptive content.
- You are responsible for the accuracy and legality of information you enter into the Platform.
4. Acceptable Use and Operational Integrity
You agree to use the Platform in a manner consistent with applicable law, contractual obligations, transportation and warehouse safety requirements, and your organization's internal policies.
- No use of the Platform to harass, discriminate against, stalk, or harm individuals.
- No introduction of malware, ransomware, unauthorized code, or harmful payloads.
- No interference with Platform availability, performance, or other users' legitimate operations.
- No misuse of AI-assisted features to generate unlawful instructions, bypass controls, or conceal prohibited activity.
- No removal or alteration of audit logs, security alerts, or compliance records except through authorized workflows.
5. Monitoring, Audit, and Security
Company implements security, audit, and monitoring controls, including access logging, anomaly detection, and Sentinel-style operational security features where enabled.
You consent to collection and review of access logs, device/session metadata, IP addresses, user-agent data, authentication events, permission changes, and security incidents related to your account, to the extent permitted by law and your organization's policies.
6. Confidentiality and Intellectual Property
All Platform software, workflows, documentation, branding, analytics models, and non-public features are owned by Company or its licensors. Except for the limited access rights granted by your organization, no license is granted to you.
Non-public customer data, pricing, operational metrics, and business processes accessed through the Platform must be treated as confidential unless disclosure is required by law or authorized in writing.
7. Sandbox, Demo, and Training Environments
If you access sandbox, demo, guest, or training environments, you acknowledge that such environments may contain synthetic data, limited retention, timed sessions, and reduced functionality.
Demo access does not grant production rights. You must not enter live personal data of real individuals into demo environments unless expressly authorized.
8. Suspension and Termination
Company or your organization may suspend or terminate your access immediately for suspected violation of these Terms, security risk, contract termination, or legal requirement.
Upon termination, your right to access the Platform ends immediately. Provisions that by nature should survive termination—including audit obligations, confidentiality, disclaimers, and limitations of liability—will survive.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OPERATIONAL OUTPUTS.
Operational decisions remain your responsibility. The Platform may assist with visibility, workflow coordination, and analytics, but it does not replace professional judgment, regulatory compliance programs, or physical safety procedures.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR OPERATIONAL DELAY, EVEN IF ADVISED OF THE POSSIBILITY.
COMPANY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US $100) OR (B) THE AMOUNT PAID BY YOUR ORGANIZATION TO COMPANY FOR THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to defend, indemnify, and hold harmless Company and its officers, directors, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your unauthorized use of the Platform, violation of these Terms, violation of law, or misuse of data accessible through your account.
12. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles, except where mandatory local law applies.
Any dispute arising under these Terms will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts, unless your organization has a separate written enterprise agreement specifying different dispute terms.
13. Changes to These Terms
Company may update these Terms from time to time. Material changes will be reflected by updating the version and effective date on the Platform. Continued access after the effective date of updated Terms constitutes acceptance, provided your organization has been given reasonable notice where required by contract or law.
